In the April 2015 edition of Business Edge, we summarised some of the company law changes introduced by the Small Business, Enterprise and Employment Act 2015.
It has recently been announced that the implementation of some of the measures has been deferred as follows:
| Measure | Original implementation date | Anticipated implementation date |
| Prohibition on the appointment of corporate directors | October 2015 | October 2016 |
|
Implementation of the People with Significant Control Register Requirement to maintain register Requirement to file register |
January 2016 April 2016 |
6 April 2016 30 June 2016 |
| Introduction of a replacement for annual returns (‘check and confirm’ process) | April 2016 | June 2016 |
| Option to keep statutory registers at Companies House | April 2016 | June 2016 |
| Change to notification of alterations to statements of capital | April 2016 | June 2016 |
The most important deferral is probably the delay to the ban on corporate directors. It should also be noted that, at the time of writing, the Government has still not published a final list of the exemptions to the prohibition on the appointment of corporate directors.
The deferred implementation will give companies a little more time to take any necessary action, but an eye will still need to be kept on the revised deadlines.
